I have been retained by Winnebago Industries to help them find a Vice President of Tax & Treasury that will work at their headquarter location and report directly to the Chief Financial Officer.

This role is part of the Enterprise Finance Key Leadership team, responsible for supporting all tax and treasury-related programs and strategies. 

Responsibilities

  • The Vice President of Tax & Treasury will report to the CFO and is responsible for Winnebago’s capital allocation strategy and all of the related components. Further, the role has responsibility over the corporation’s tax strategy and implementation thereof (largely domestic), as well as overall Financial Risk Management. This role will also be responsible for managing overall liquidity, capital structure strategy, banking and rating agency relationships, shareholder distributions and cash management activities for the enterprise. The Treasurer also plays an important role in the company’s acquisition strategy and execution, as they intend on remaining acquisitive.
  • Develops and leads an efficient, well-trained, and highly motivated team.
  • Analyzes and executes optimal financing, risk management, and capital structure strategies for the corporation.
  • Develops and executes a Capital Allocation strategy that optimizes shareholder returns while securing liquidity during cyclical downturns in the industry.
  • Responsible for cash management, including funding execution and transfers, bank account maintenance, investment of cash balances, and daily cash balance reporting.
  • Oversees cash flow forecasting and partners across the business to optimize the flow of working capital through the seasonality and cyclicality of our business.
  • Leads analysis of liquidity position and cash target.
  • Participates in investment financing strategy and analysis, to include M&A and other business development opportunities.
  • Establishes and maintains key strategic relationships with banks and financial institution service providers.
  • Maintain relationships with rating agencies in order to drive improved ratings outcomes.
  • Negotiates financing documents and agreements related to debt capital markets (DCM) and credit facilities.
  • Develops recommendations for senior management and the Board around shareholder distributions (dividends and share repurchase and the timing thereof), liquidity, and leverage options.
  • Monitors and maintains compliance with all bank and DCM covenants.
  • The Treasurer leads the Capital Allocation portion of the Audit and Finance Committee preparation and presentation. Presenting to the Audit and Finance Committee of Winnebago’s Board of Directors and outside investors on treasury and financing related matters.
  • Assesses and optimizes systems, company policies, and procedures to increase efficiency and ensure proper control and safe keeping of cash and other related corporate assets.
  • Creates, maintains and updates enterprise treasury operational policies and processes relating to investments, borrowings, liquidity, and inter-bank liabilities.
  • Assess insurable risks of the company and determine whether they transfer risk via insurance market or they self-insure. If they transfer the risks, ensure adequate and suitable deductibles and limits to mitigate risk of loss,
  • Partner with Tax Director in developing and optimizing the tax strategy for the company

  • Minimum of 15 years of related experience.
  • Current or recent public company experience as a Treasurer or Assistant Treasurer with complex financing arrangements is required. Tax experience is a plus but not required.
  • Public company experience with an organization that is $500 million or larger.

  • Bachelor’s degree in Finance, Economics, or Accounting is required; MBA is preferred
